Welcome to Tally. These Terms of Service ("Terms") are an agreement between you and Buzzed Technologies LLC, a New York limited liability company ("Buzzed Technologies," "we," "us"). They apply to the Tally iPhone app and the pages at tally.buzzedtech.com (together, "Tally"). By creating an account, ticking the consent box, or using Tally, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use Tally.
1. What Tally does, and what it doesn't
Tally lets people create groups (such as trips, flatmates, or dinners), add people by name, log shared expenses and payments, and see who owes whom.
Tally only records amounts. It does not move, hold, or transfer money, and it is not a bank, payment service, money transmitter, or lender. Suggested payments are simple calculations, not payment requests or instructions. A payment recorded in Tally doesn't mean money actually changed hands. You and your group settle up outside Tally.
Tally is not financial, tax, legal, or accounting advice.
2. Who can use Tally
You must be at least 13 years old, or older if the minimum age for online services in your country is higher. If you're under 18, you need a parent or guardian's permission, and they agree to these Terms on your behalf. You must be able to form a binding contract and not be barred from using Tally by law.
3. Your account
You sign in with your phone number, an SMS code, and a password, through our authentication provider, Clerk. You agree to:
- give accurate information and keep it up to date
- keep your password and phone secure, and tell us if you think someone else has access to your account
- take responsibility for activity under your account
By entering your phone number, you agree that we and Clerk may text you one-time verification codes. We use texts only to verify your sign-in, never for marketing. Your carrier's message and data rates may apply.
You can delete your account at any time in the app: Account → Manage account → Security → Delete account. The Privacy Policy explains what that deletes.
4. Groups and shared expenses
- Invite codes. Anyone with a group's 8-character invite code can join it. Share the code only with people you want in the group.
- Shared control. Every member with an account can see and edit the group's members, expenses, and payments, and can delete an expense. Deleted expenses can't be restored. Only the group's owner can delete the whole group, which removes it and its expenses for everyone. If the owner leaves, ownership passes to another member.
- People you add by name. You can add friends before they have an account. Only add people you know, use only their name, and don't add anyone who has asked you not to. Someone who joins can claim an existing name in the group. Don't claim a name that isn't yours.
- Disagreements. We don't verify expenses or take part in arrangements between members. Disputes about who owes what are between you and the other members.
- Notifications. When someone adds, edits, or deletes an expense, or joins a group, members get a notification that includes names, titles, and amounts. What shows on a locked screen depends on your iOS settings.
5. Your content and our license
You own the content you put into Tally, such as group names, expense details, notes, and your profile photo. You give us a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display that content, including by sending it to the service providers named in the Privacy Policy, solely to operate, secure, and provide Tally. You also allow the other members of your groups to view and edit shared group content as Tally allows.
You promise that you have the right to share what you submit and that it doesn't break the law or anyone's rights. We may remove content that breaks these Terms. The Privacy Policy explains how we handle personal information.
6. Acceptable use
You agree not to:
- use Tally unlawfully, or to record fraudulent or illegal transactions
- post false, harassing, hateful, or abusive content, or upload a profile photo you don't have the right to use
- impersonate anyone, or use Tally to collect other people's information for any purpose other than tracking shared expenses
- interfere with or attack Tally, probe or bypass its security, or overload our systems
- scrape or automate Tally, other than through the AI assistant connection we support
- reverse engineer or copy Tally, except where the law allows it
7. AI features
Tally uses AI models to suggest an expense category as you type a title, and to read text from a receipt you scan and fill in the title, total, date, and category. Suggestions and extractions can be wrong or incomplete. Always check the amount, currency, date, and category before you save, because you are responsible for what is in your group's ledger. Don't rely on Tally's AI features for accounting or tax records.
Titles, notes, and recognized receipt text are sent to AI providers, so don't include information you wouldn't want processed that way. The Privacy Policy has the details.
8. AI assistants and MCP
You can connect a third-party AI assistant (for example, Claude) to your Tally account using the Model Context Protocol and sign in with OAuth. A connected assistant can read your groups and expenses and add, edit, or delete expenses on your behalf, including in groups shared with other people.
If you connect an assistant:
- you are responsible for what you authorize and for what the assistant does with that access, as if you had done it yourself
- the assistant's provider receives what the assistant reads, and its own terms and privacy policy govern that, not ours
- changes an assistant makes, including deletions, may not be reversible
- you can disconnect it by removing Tally in the assistant's settings or by deleting your account
We don't control third-party assistants and aren't responsible for their actions, errors, or data practices. We may block or limit a connection that threatens Tally or other users.
9. Apple App Store terms
If you got Tally from the Apple App Store, these terms also apply, and they control if they conflict with the rest of these Terms.
- Acknowledgement. These Terms are between you and Buzzed Technologies only, not Apple. Buzzed Technologies, not Apple, is solely responsible for Tally and its content. Apple's Media Services Terms also apply to your use of the app.
- Scope of license. You get a limited, non-transferable license to use Tally on Apple-branded devices you own or control, as allowed by the Usage Rules in Apple's App Store terms.
- Maintenance and support. Buzzed Technologies is solely responsible for maintenance and support. Apple has no obligation to provide any.
- Warranty. If Tally fails to meet an applicable warranty, you may tell Apple, and Apple will refund any purchase price (Tally is free, so there is none). To the maximum extent the law allows, Apple has no other warranty obligation for Tally. Any other claims, losses, or costs caused by a failure to meet a warranty are our responsibility.
- Product claims. Buzzed Technologies, not Apple, is responsible for any claim about Tally or your use of it, including product liability, failure to meet legal or regulatory requirements, and consumer protection or privacy claims.
- Intellectual property. If a third party claims Tally infringes its intellectual property rights, Buzzed Technologies, not Apple, is solely responsible for investigating, defending, settling, and discharging the claim.
- Legal compliance. You confirm that you are not in a country subject to a US government embargo or designated as a "terrorist supporting" country, and that you are not on any US government list of prohibited or restricted parties.
- Contact. Send questions, complaints, or claims about Tally to Buzzed Technologies LLC at legal@buzzedtech.com.
- Third-party terms. You must follow any applicable third-party terms, such as your wireless carrier's, when using Tally.
- Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms. When you accept them, Apple has the right to enforce them against you as a third-party beneficiary.
10. Ownership of Tally
Tally, including the app, name, logo, and design, belongs to Buzzed Technologies and our licensors. We give you a limited, personal, non-exclusive, non-transferable, revocable license to use the app under these Terms. If you send us feedback, we may use it without owing you anything.
11. Disclaimers
Tally is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't promise that Tally will be uninterrupted, secure, or error-free, or that calculations, exchange rates, or AI output will be accurate. Exchange rates come from third parties and are for information only. If you're a consumer, you may have legal rights that can't be waived, and nothing in these Terms takes them away.
12. Limitation of liability
To the fullest extent the law allows, Buzzed Technologies and its members, officers, and contractors are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or money another member owes you and doesn't pay. We are not liable for disputes between group members or for errors in amounts that members or assistants enter. Our total liability for any claim relating to Tally is limited to $100. None of this limits liability that can't be limited by law, including for fraud, willful misconduct, or death or personal injury caused by our negligence.
13. Indemnity
To the extent the law allows, you'll defend and indemnify us against third-party claims, and related losses and reasonable legal fees, arising from your content, your breach of these Terms, or your misuse of Tally, including through an assistant you connect. This doesn't apply where the law doesn't allow it.
14. Suspension and termination
You can stop using Tally and delete your account at any time. We may suspend or end your access if you break these Terms, create risk or legal exposure for us or others, or the law requires it. We may also discontinue Tally, and will give reasonable notice where practical. When your access ends, your license ends, and the Privacy Policy's retention terms apply. Sections that by their nature should survive, such as ownership, disclaimers, liability, and governing law, do.
15. Governing law and disputes
New York law governs these Terms and any dispute about Tally, without regard to conflict-of-laws rules. Before filing a claim, please email legal@buzzedtech.com and give us 30 days to try to resolve it. If that doesn't work, claims must be brought in the state or federal courts located in New York County, New York, and you and we consent to those courts' jurisdiction. If you're a consumer in the EU, the UK, or elsewhere, you keep the mandatory consumer protections of your home country, including any right to bring a claim in your local courts.
16. Changes
We may update these Terms or Tally. We'll post updated Terms with a new effective date and, for material changes, tell you in the app before they take effect where practical. If you keep using Tally after the changes take effect, you accept them. If you don't agree, delete your account.
17. General
These Terms and the Privacy Policy are the entire agreement between you and us about Tally. If a part is unenforceable, the rest stays in effect. Not enforcing a term isn't a waiver of it. You can't transfer these Terms, but we may transfer them in a merger or sale. Apple is the only third party who may enforce them. We may give notices by email, in the app, or on our website.
